Sbsial Terms & Conditions for Creator Subscription Services Policy
Sbsial Terms & Conditions of use for Creator Subscription services will govern your (referred to herein as you, your, and/or Creator) participation in Sbsial Subscription and supplement and amend Sbsial Terms of use and all other terms, conditions and policies incorporated therein.

These Terms are between you and Sbsial Platforms and the aspects of this service may be owned, operated, or controlled by Sbsial Platforms or its affiliates. References to “us,” “we,” and “our” mean either Sbsial Platforms or its affiliates and any capitalized terms used but not defined herein have the meaning given in the Terms of Use.
Sbsial Subscriptions is accessed through and part of Sbsial App products provided by Sbsial Platforms and your use of Sbsial Subscriptions is deemed part of your use of Sbsial App Services. In the event of any conflict between these Terms and the Terms of Use, these Terms will govern solely the use of Sbsial Subscriptions and solely to the extent of the conflict.
By joining, using, or otherwise participating in Sbsial Subscription as a Creator, you agree to these Sbsial Subscription Creator Terms.
Sbsial Subscriptions allow Sbsial App users to support their favorite Sbsial Creators through a subscription that provides access to exclusive digital content and features that may be made available by Creators.
Definitions that apply to Sbsial Subscription Creator Terms:
Creator:
Means a person or entity that posts Sbsial Subscription Content on Sbsial platform and who creates Sbsial Subscription.
Sbsial Subscription:
Means a paid monthly subscription made available on Sbsial platform and purchased by Sbsial users in exchange for access to certain digital content and features.
Sbsial Subscription Content:
Means content made available by a Creator to Subscribers who have subscribed to that Creator’s Sbsial Subscription.
Subscriber:
Means any Sbsial user who joins Sbsial Subscription by purchasing a monthly subscription.
Third-Party Platform Provider:
Means a non-Sbsial platform, such as the Apple App Store or Google Play, through which a Subscriber purchases Sbsial Subscription.
- Your use of Sbsial Subscription to offer digital content and/or services to Subscribers is subject to, and you agree to comply with Sbsial Terms and Conditions, Sbsial Policy and Community guidelines as updated from time to time. You agree to follow any additional instructions and/or technical documentation we provide to you for Sbsial Subscription.
- Sbsial can terminate or suspend your use of Sbsial Subscription at any time in its sole discretion, and may change or stop offering Sbsial Subscription at any time in its sole discretion. In no event will Sbsial be liable for terminating or suspending your use of Sbsial Subscription, for the discontinuation of Sbsial Subscription, for the removal of or disabling of access to content, or for the withdrawal of the content from Sbsial Subscription.
- If we provide functionality within Sbsial Subscription that allows you to change what’s included in your Sbsial Subscription in a way that could be considered material, you must give Subscribers reasonable prior notice such that they have a reasonable opportunity to cancel their Sbsial Subscription if they so choose. The change will take an effect after their next Subscription fee payment is due. Sbsial may disable automatic renewals of some or all Sbsial Subscriptions in Sbsial sole discretion.
- If you provide any information to Subscribers in connection with Sbsial Subscription, including any digital content or services you choose to offer to them, you must do so truthfully, clearly, and conspicuously. You must disclose all material terms regarding your offer and the nature of content or services you will provide to Subscribers once they choose to subscribe.
- You represent and warrant that the content you offer through Sbsial Subscription does not violate or otherwise misappropriate the intellectual property rights or other proprietary rights (including rights of publicity and rights of privacy) of any third party and that you have secured all rights necessary to distribute, copy, display, publicly perform, or otherwise use the content.
- You may not promote or facilitate any gambling, including, for example, a lottery or a raffle, using Sbsial Subscription. If you communicate or administer a promotion, for example, a contest or sweepstakes, using Sbsial Subscription, you confirm and agree that you are responsible for the lawful operation of that promotion, including with respect to the promotion’s official rules, eligibility restrictions, and compliance with any applicable law or regulation governing the promotion and awarding of prizes (for example, any requirements relating to registration or regulatory approvals). Sbsial will not assist you in the administration of your promotion, and you confirm and agree that if you use Sbsial Subscription to communicate or administer your promotion, you do so at your own risk. Any such promotion must include a complete release of Sbsial by each entrant or participant and an acknowledgement that the promotion is in no way sponsored, endorsed, administered by or associated with Sbsial. For the avoidance of doubt, any such promotion may not award as a prize, or otherwise involve, physical goods.
- Sbsial does not have a refund for subscription fees, but if Sbsial in its sole and absolute discretion approves a Subscription refund, you agree and understand that you will not be entitled to any fees for such Sbsial Subscription during the applicable month.
- No Minimum Benefits. Your use of Sbsial Subscription is entirely voluntary, and does not, in and of itself, guarantee any minimum benefits or amounts payable.
Sbsial Subscription Payments:
- Purchases of Sbsial Subscriptions may be processed as payments to Sbsial via Apple’s In-App Purchase services or Google’s In-App Purchase services, which are subject to Apple’s and Google’s separate payment terms and conditions, or other Third-Party Platform Providers. Apple, Google, and Third-Party Platform providers may charge Sbsial a revenue share and/or other fees for such payment processing services according to their terms and conditions.
- Sbsial will pay you a revenue share calculated as a percentage (“Your Share”) of what’s left of the revenues from purchases of Sbsial Subscriptions after deduction of fees/charges and of any other fees or taxes incurred by Sbsial (“Net Revenue”). At the end of the Term, Sbsial may deduct for itself a revenue share of Net Revenue. Sbsial may disable some or all Sbsial Subscriptions in Sbsial’s sole discretion. Sbsial may in the future change the revenue share provisions contained in these Sbsial Subscription Creator Terms.
- Sbsial reserves the right to offer discounted Sbsial Subscriptions in its discretion from time to time. In such instances, Your Share will be reduced accordingly, and you will only receive a revenue share based on the amounts Subscribers actually pay, less fees and taxes incurred by Sbsial.
- Subject to this letter, and provided that you have accurately completed and timely provided to us any forms or documentation that we request to set up payment to you (which payment information you must keep accurate and up-to-date), and provided that you have the requisite authority to provide such information, payments will be made within approximately 30 days after the end of the calendar month in which such Net Revenue is generated. We will not be responsible for any subsequent fees applied by your financial institution to complete payment to you.
- If you are acting as an agent (including, but not limited to, an agent or representative of Creator), you represent and warrant that you are authorized to provide the specific payment information which you give to us and, where applicable, to receive payment from us. We are not responsible for, and will not adjudicate, any disputes between you and any other agent or entity relating to the payment information that you provide to us or the payment or any apportionment of the payment between you and any third party.
- In the event that any remittance made by us to you is subject to any Withholding Taxes (defined below), the full amount of any such Withholding Taxes shall be solely for your account. We may deduct the full amount of such withholding tax from the gross amount owed to you, and will pay the full amount withheld over to the competent tax authorities.
- Where applicable, you accept that completion of the payment enrollment process within six months after you accept these Terms is a condition of payment. If you do not complete the payment enrollment process within six months after accepting these Terms, you forfeit and waive all rights to receive payment of any funds.
Taxes:
- You shall be responsible for compliance with all local tax regulations including but not limited to reporting, deposit and payment of any and all federal, state, and local taxes related to the performance of, or payment, or benefit received through your use of Sbsial Subscriptions.
- You agree to accurately complete and timely provide to Sbsial any forms or documentation that Sbsial reasonably determines are required to set up payment to you. In addition, you will provide Sbsial with applicable tax ID, tax forms, documents, or certifications as may be required by applicable law for Sbsial to satisfy any tax information reporting and/or withholding tax obligations with respect to any payments.
- Sbsial shall be entitled to deduct and withhold from any consideration payable such amounts as are required to be deducted or withheld therefrom under any provision of UAE Federal, state, local or foreign tax law, or under any other applicable law, wherever applicable.
- Wherever applicable, you agree that Sbsial will prepare and issue VAT invoices under a self-billing arrangement, acknowledge and accept the validity of such self-billed invoices, and agree that you will be responsible for timely remittance to applicable tax authorities of any tax amounts on such self-billed invoices that were paid to you by Sbsial. You shall use best efforts to assist Sbsial in all legal efforts to minimize the taxes resulting from your use of the Subscription services.
Further Points to Take into Consideration:
- If you provide or allow Sbsial to access any data, content, or other information in connection with your use of Sbsial Subscriptions then you grant Sbsial and its affiliates a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use such Supplemental Data. This license survives even if you stop using Sbsial Subscriptions. You are responsible for obtaining the necessary rights from all applicable rights holders to grant this license.
- If you are using Sbsial Subscriptions on behalf of a third party including, but not limited to, as an agent or representative of a Creator, you represent and warrant that you have the authority as agent of such party to use such features on their behalf, agree to these Terms, and hereby bind such party to these Terms. You agree to indemnify and hold Sbsial harmless from any claims, suits, losses, liabilities, damages, costs, and expenses resulting from your breach of the Terms.
- You agree to receive electronic communications regarding your use of Sbsial Subscription, updates, payments, and other related topics. You also agree to receipt of such communications through Sbsial platform, via the e-mail address provided to us, via phone or by mail at the street address that you provided to us.
Sbsial reserves the right to update these Terms from time to time. If any change to these Terms is material, we will provide you with notice before the change becomes effective, so that you can choose to terminate or discontinue your use of Sbsial Subscriptions. Your continued use of Sbsial Subscriptions despite material changes to the Terms means the acceptance of such changes.
